Organizer Agreement
Effective October 1, 2026.
This Agreement is between Kelly Copley ("Posium", "we", "us"), in Pennsylvania, USA, and the organization that creates an organizer account on Posium ("you", the "Organizer"). The person accepting it confirms they are authorised to bind that organization.
The Terms of Service and Privacy Policy also apply. Where they conflict with this Agreement on a question about organizing events, this Agreement controls.
1. Eligibility
At launch, Posium is available only to organizations based in the United States that sell in US dollars. You confirm that you are one, and that the information you give us and your payment provider is accurate.
2. The Service
Posium provides software for running events: registration and ticketing, schedules, check-in, calls for proposals, contests, surveys, documents and community profiles, depending on your plan. The features, limits and fees of each plan are shown on the pricing page and in your billing settings when you buy.
3. Plans, renewal and cancellation
- Paid plans and add-ons are billed annually in advance through Stripe, and renew automatically each year at the then-current price until you cancel.
- We will email the billing owner a reminder between 15 and 45 days before each renewal, with the renewal date, amount and how to cancel. If we change the price of your plan, we will tell you at least 30 days before the renewal the new price applies to.
- You can cancel at any time from Billing settings. Cancellation takes effect at the end of the current billing period, and your paid features remain until then. We do not give prorated refunds for unused time, except where the law requires one.
- Upgrades take effect immediately. Downgrades take effect at renewal.
- If a renewal payment fails, Stripe will retry it. If it is not paid, your organization moves to the free plan and features outside that plan stop working. Your data is not deleted as a result.
4. Platform fees
- Posium charges a platform fee on each paid ticket, at the rate for your plan shown when you buy. Free tickets carry no platform fee. Payment processing fees are separate and charged by your payment provider.
- For each event you choose whether attendees pay the platform fee at checkout (the default) or you absorb it.
- The fee is collected at the time of sale, as an application fee on Stripe or a platform fee on PayPal.
- When you refund a ticket, Posium refunds its platform fee on that ticket in full. Your payment provider's processing fee may not be refunded; that is between you and your provider.
5. Payments to you
- Ticket payments go to your own Stripe or PayPal account. You are the seller and merchant of record for every ticket, add-on and other item you sell on Posium. Posium is not a party to the sale and never holds your funds.
- You contract with Stripe or PayPal directly when you connect your account, and their terms govern your account, payouts, disputes, reserves and chargebacks. Posium is not responsible for your provider's decisions.
- You are responsible for chargebacks and disputes on your sales, and for any taxes on your sales (including sales tax and any tax on tickets or events).
6. Your responsibilities
You are responsible for:
- your events: their content, dates, venue, safety, accessibility, and whether they take place;
- your terms: your refund policy, event agreements, contest rules, submission terms and code of conduct, which you publish on Posium and must honour;
- refunds and communication with your attendees if an event is changed or cancelled, including if your account is suspended or closed;
- anyone under 16 you admit to your events, including obtaining parental consent where the law requires it;
- the rights you need in what you publish, and any rights you want in what attendees, presenters and entrants submit to you (for example, to publish accepted work or record sessions). Posium's licence to that content covers operating the Service only and gives you no rights;
- your staff: everyone you give access to your organization, and what they do with it;
- complying with the law that applies to your events, including consumer, privacy, anti-spam, contest and sweepstakes law.
7. Acceptable use and suspension
The acceptable-use rules in the Terms of Service apply to you and your staff. Posium may remove content, pause ticket sales or suspend your organization if you or your staff break them, if your payment provider closes or restricts your account, if we receive credible reports of fraud, or where required by law. Where practical and lawful we will tell you why first and give you a chance to fix the problem. While suspended you remain responsible for refunds to your attendees, and we will direct attendees who contact us to you.
8. Data processing terms
This section applies to personal information about attendees, presenters, entrants, survey respondents and others that you collect through the Service ("Event Data").
- Roles. You decide what Event Data is collected and why. Posium processes it on your behalf as your service provider (or "processor"), including under the California Consumer Privacy Act and similar state laws.
- Use limits. Posium uses Event Data only to provide, secure and support the Service for you, to meet its legal obligations, and as you instruct. Posium does not sell or share it (as those terms are defined in California law), does not use it for its own marketing, and does not combine it with personal information from other sources except as needed to provide the Service (for example, linking a ticket to an attendee's own Posium account).
- Subprocessors. You authorise the service providers listed in the Privacy Policy. We will update that list before adding a new one, and material changes to it are notified under section 12.
- Confidentiality. Access to Event Data is limited to the operator and anyone acting for Posium who is bound to keep it confidential.
- Security. Posium maintains reasonable security measures appropriate to the data.
- Requests. If a person asks Posium to access, correct or delete Event Data, we will forward the request to you and help you respond, as far as the Service allows.
- Breach. If Posium becomes aware of unauthorised access to Event Data, we will tell you without undue delay and give you the information you reasonably need to meet your own notification duties.
- Your notice. You are responsible for telling people how you use their Event Data. The Service lets you publish your own privacy notice alongside Posium's.
- Return and deletion. You can export registration rosters and survey responses at any time. When this Agreement ends, section 10 applies.
- Compliance. Posium will tell you if it can no longer meet its obligations in this section.
9. Confidentiality and your data
Your organization's non-public information, including Event Data, sales figures and unpublished submissions, is confidential. Posium will not disclose it except as this Agreement and the Privacy Policy allow. Posium may use aggregated information that does not identify you, your attendees or your events (such as total ticket volume across the platform) to operate and improve the Service.
10. Term and termination
- This Agreement runs while you have an organizer account.
- You may end it by cancelling any paid plan and asking us to close your organization. Posium may end it with 30 days' notice, or immediately for a serious or repeated breach.
- After termination, your Event Data stays available for export for 30 days, and we will email your organization's owners when it ends to say when deletion happens. After those 30 days we delete it, except records Posium must keep, such as orders and payment records, which are kept as the Privacy Policy states.
- Sections 4 (as to fees due), 5, 6, 8 (while Posium holds Event Data), 9, 11, 12 and 13 survive termination.
11. Warranties and liability
- The Service is provided "as is" and "as available". To the extent the law allows, Posium disclaims all warranties, express or implied.
- To the extent the law allows, Posium is not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, data or goodwill, including from an event's disruption.
- Posium's total liability to you for all claims relating to the Service is limited to the amounts you paid Posium (subscription and platform fees) in the 12 months before the claim arose.
12. Indemnity
You will defend and indemnify Posium against third-party claims, and the resulting losses and reasonable costs, arising from your events, your content, your terms and agreements with attendees, your sales and refunds, your use of Event Data, or your or your staff's breach of this Agreement or the law.
13. General
- Changes. When we make a material change to this Agreement, we will email your organization's owners at least 30 days before it takes effect, and ask you to accept it the next time you use the Service after that date. Price changes follow section 3.
- Law and courts. This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Tioga County, Pennsylvania.
- Assignment. Posium may assign this Agreement to a successor, including a company formed to operate the Service, and will tell you if it does. You may not assign it without Posium's consent, except to a successor to your organization that accepts it.
- Notices. We send notices to your organization owners' email addresses. You send notices to [email protected].
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Whole agreement. This Agreement, the Terms of Service and the Privacy Policy are the whole agreement between you and Posium about the Service. If part is unenforceable, the rest stays in effect.
